End User Licence Agreement

1. Parties and Acknowledgement
This Agreement is between you ("you" or "User") and EQED Pty Ltd ACN 648 716 563, trading as hovr ("hovr", "we", "us", "our"), a company incorporated in New South Wales, Australia. Our principal place of business is Pyrmont NSW 2009.
This Agreement is solely between you and hovr — not with Apple Inc. ("Apple"). Apple is not a party to this Agreement and is not responsible for the hovr app or its content. hovr, not Apple, is solely responsible for the app and its content.
2. Acceptance of Terms
By creating an account, installing, or using the hovr app, you confirm that:
- you have read, understood, and agree to be bound by this EULA and our Privacy Policy;
- you are at least 18 years of age;
- you have the legal capacity to enter into a binding agreement; and
- if you are using the app on behalf of an organisation, you have authority to bind that organisation.
We may update this Agreement from time to time. We will notify you of material changes via the app or by email. Continued use of hovr after changes take effect constitutes your acceptance of the updated terms.
3. Licence Grant
Subject to your compliance with this Agreement, hovr grants you a limited, non-exclusive, non-transferable, revocable, personal licence to:
- download and install the hovr app on Apple iOS devices that you own or control; and
- use the app for your own personal, non-commercial purposes.
This licence does not include the right to:
- sublicense, sell, resell, transfer, assign, or otherwise deal with the app;
- copy, modify, adapt, translate, reverse engineer, disassemble, or create derivative works from the app;
- use the app for any commercial purpose or for any public display;
- use the app in a manner that violates any applicable law or regulation.
4. Subscriptions and In-App Purchases
4.1 Auto-Renewing Subscription
hovr offers a monthly subscription ("Subscription") for automated property valuations, currently priced at AUD $4.99 per month. Pricing is subject to change with notice.
4.2 Billing by Apple
All Subscriptions and in-app purchases are processed and billed by Apple through Apple's In-App Purchase ("IAP") system. By subscribing, you also agree to Apple's terms of service for IAP. hovr does not directly process your payment information.
4.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. Your Apple ID account will be charged for renewal within 24 hours before the end of the current period.
4.4 Managing and Cancelling Subscriptions
You can manage and cancel your Subscription at any time via your Apple ID account settings (Settings > [your name] > Subscriptions on your iOS device). Cancellation takes effect at the end of the current billing period; you will retain access until that date.
4.5 Refunds
Subscription fees are generally non-refundable. All refund requests must be directed to Apple in accordance with Apple's refund policy. We will not process refunds directly. Nothing in this clause limits any rights you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).
4.6 Price Changes
We may change Subscription pricing at any time. You will receive advance notice of any price increase and will have the opportunity to cancel before the new price takes effect.
5. User Accounts and Responsibilities
To use hovr you must create an account. You may register using an email address and password, or via Sign in with Apple. You agree to:
- provide accurate, current, and complete registration information;
- keep your account credentials confidential and not share them with any third party;
- notify us immediately at support@hovr.com.au if you suspect any unauthorised use of your account;
- be solely responsible for all activity that occurs under your account;
- use the app only for lawful purposes and in accordance with this Agreement.
We reserve the right to suspend or terminate your account if we reasonably believe you have breached this Agreement.
6. Property Data and Valuations
6.1 Informational Purposes Only
All property valuations, estimates, and related data provided through hovr (whether AI-generated, automated, or provided by a human valuer) are for informational and general reference purposes only. They do not constitute professional financial, legal, or investment advice, and must not be relied upon as a substitute for independent professional advice.
6.2 Not Financial Advice
hovr is not a licensed financial adviser, mortgage broker, or real estate agent. Nothing in the app constitutes a recommendation or opinion about whether to buy, sell, refinance, or otherwise deal in real property.
6.3 Not for Lending Decisions
Valuations provided through hovr are not formal bank valuations and must not be relied upon for lending, mortgage, or credit decisions. You should obtain a formal valuation from a certified practising valuer if required by a lender.
6.4 Accuracy
Valuation estimates are based on third-party data sources (including PropTrack and Domain) and AI models. We make no warranty as to the accuracy, completeness, or currency of any valuation or property data. Market conditions and individual property characteristics may not be fully reflected in automated estimates.
6.5 Your Data
You are responsible for the accuracy of property addresses, mortgage details, and other information you enter into hovr. We are not liable for errors arising from inaccurate user-supplied data.
7. Acceptable Use
You must not use hovr to:
- engage in any unlawful activity;
- scrape, harvest, or extract data from the app using automated means;
- attempt to gain unauthorised access to any part of the app or its backend systems;
- transmit any malware, viruses, or harmful code;
- impersonate any person or entity;
- interfere with or disrupt the app or its servers; or
- use the app to create a competing product or service.
8. Intellectual Property
hovr and all content, features, functionality, trademarks, logos, software, and source code within the app are owned by or licenced to EQED Pty Ltd and are protected by Australian and international intellectual property laws.
This Agreement does not transfer any intellectual property rights to you. You acquire no rights in the app other than the limited licence granted in clause 3.
Any feedback, suggestions, or ideas you provide to us about the app may be used by us without restriction or compensation.
9. Third-Party Services
hovr integrates with third-party services including Apple (Sign in with Apple, IAP, Push Notifications), PropTrack, Domain API, Google Maps, and AI providers (OpenAI, Anthropic Claude, Google Gemini, Perplexity). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of those third-party services.
10. Push Notifications
hovr may send push notifications about valuations, account activity, and service updates. You can disable push notifications at any time via your device's iOS Settings.
11. Privacy
Our collection and use of your personal information is governed by our Privacy Policy, which forms part of this Agreement. We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
12. Disclaimers and Limitation of Liability
12.1 Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your Subscription and obtain a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. For minor failures, we are entitled to fix the problem within a reasonable time, and if we fail to do so, you are entitled to a refund. Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded under applicable law.
12.2 General Disclaimer
To the maximum extent permitted by law, and subject to clause 12.1:
- the app is provided "as is" and "as available" without any warranty, express or implied;
- we do not warrant that the app will be uninterrupted, error-free, or free from viruses or harmful components;
- we are not liable for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits, data, or savings arising from your use of the app; and
- where our liability is not excluded, it is limited to the resupply of the relevant service or, at our option, the amount you paid to us in the 12 months preceding the claim.
12.3 Valuation Disclaimer
We are not liable for any financial loss or damage arising from reliance on any valuation, estimate, or data provided through the app. See clause 6 above.
13. Indemnity
You agree to indemnify, defend, and hold harmless EQED Pty Ltd and its officers, directors, employees, agents, and contractors against any claims, damages, losses, and expenses (including reasonable legal costs) arising from: (a) your use of the app; (b) your breach of this Agreement; (c) your violation of any law or the rights of any third party; or (d) any data you input into the app.
14. Termination
This Agreement is effective until terminated. We may suspend or terminate your access to hovr immediately if you breach this Agreement, or for any other reason at our discretion.
You may terminate this Agreement at any time by deleting the app and cancelling any active Subscription via your Apple ID account settings.
On termination, the licence granted in clause 3 ceases and you must stop using the app. Clauses that by their nature should survive termination (including clauses 6, 8, 12, 13, 16, and 17) will continue to apply.
15. Changes to the App and Agreement
We may update, modify, or discontinue the app or any feature at any time with or without notice. We will notify you of material changes to this Agreement. Your continued use of the app after changes are posted constitutes acceptance of the updated Agreement.
16. Governing Law and Jurisdiction
This Agreement is governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia. Nothing in this clause limits any rights you have under the Australian Consumer Law.
17. Apple-Specific Terms
The following terms apply specifically to the hovr app distributed via the Apple App Store:
- Parties: You acknowledge that this Agreement is between you and hovr (EQED Pty Ltd) only, and not with Apple. Apple is not responsible for the app or its content.
- Licence scope: The licence granted in clause 3 is limited to use on Apple-branded products running iOS, as permitted by the App Store Usage Rules in Apple's Terms of Service.
- Maintenance and support: Apple has no obligation whatsoever to provide any maintenance or support services for the app. hovr is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed.
- Warranty: In the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the app (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be hovr's sole responsibility.
- Product liability and legal compliance: hovr, not Apple, is responsible for addressing any claims relating to the app or your possession and/or use of it, including: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar laws.
- Intellectual property: In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, hovr, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
- Third-party beneficiary: Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement. Upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
- U.S. export compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
18. General
- Entire Agreement: This Agreement and our Privacy Policy constitute the entire agreement between you and us regarding your use of hovr and supersede all prior agreements.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of this Agreement is not a waiver of our right to do so later.
- No assignment: You may not assign this Agreement or any rights under it without our prior written consent.
- Force majeure: We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
